Public contract (offer) on the use of the ECOM.md platform
This document constitutes the official offer (public offer) of «ALSODEV» S.R.L. to conclude a contract on the use of the ECOM.md platform under the terms set out below.
02Terms and definitions
The contract uses the following concepts: Platform (the ECOM.md system), Services, Website, Content, Account, Tariff plan, Subscription and Tax invoice. Each term is applied in the meaning disclosed in the text of the contract.
03Subject of the contract
The Provider grants access to the platform and services for the configuration, maintenance and technical support of the Beneficiary’s website. The services include hosting, integrations and technical support.
04Acceptance of the contract
The contract is deemed concluded and produces legal effects from the date the Beneficiary makes the first advance payment.
05Term of the contract. Technical support
The contract is concluded for an indefinite term. Technical support is provided on business days from 09:00 to 18:00 (Moldova time).
06Obligations of the parties
The Provider: creation of the account, configuration of the site, hosting, maintenance and issuance of tax invoices. The Beneficiary: timely payment, compliance with the law and responsibility for the content posted.
07Financial terms
The amount of the fee depends on the chosen tariff plan and additional modules. Payment is made by bank transfer on the basis of a tax invoice. Payments made are non-refundable for Services already rendered.
08Suspension of the provision of services
The Provider has the right to suspend access to the platform in case of late payment, breach of the terms of the contract or posting of illegal content.
09Confidentiality and data protection
Data is stored in accordance with the ISO/IEC 27001 standard. The parties are obliged to comply with Law No. 133/2011 on the protection of personal data and other applicable norms.
10Liability of the parties
The Beneficiary bears full responsibility for the content published. The Provider is not liable for unauthorized access resulting from the actions of the Beneficiary.
11Intellectual property
The platform and its components belong to the Provider. The Beneficiary is granted a non-exclusive right of use for the term of the contract. The Content remains the property of the Beneficiary.
12Amendment of the contract
The Provider has the right to unilaterally make amendments by publishing an updated version. Amendments enter into force 14 calendar days after the moment of publication.
13Termination of the contract
The contract may be terminated by unilateral withdrawal with 30 days’ notice or for failure to perform obligations by one of the parties.
14Force majeure
The parties are released from liability for failure to perform obligations upon the occurrence of force majeure circumstances.
15Settlement of disputes
Disputes are settled through negotiations and, in the absence of agreement, by the courts of the Republic of Moldova.
16Communications and notices
Notices are sent by registered letter, courier or email to the addresses indicated by the parties.
17Final provisions
The contract is governed by the legislation of the Republic of Moldova. The current version entered into force on 06.12.2024.
